Introduction
The Paymasters Limited (NZBN: 9429037141813) (“The Paymasters”, “we”, “us”, “our”) welcomes you to this website (www.paymasters.co.nz) and any associated portals, including Ezytime (www.ezytime.kiwi) (together, the “Website”).
By accessing or using this Website, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions. If you do not accept these Terms and Conditions, you must not use this Website or the Services.
The Paymasters Limited was formerly known as Ezypay Limited. All references to Ezypay Limited in any prior agreements, correspondence, or documentation should be read as references to The Paymasters Limited.
1. Definitions
In these Terms and Conditions, unless the context otherwise requires:
(a) “Agent” means a supplier of services to your Employer;
(b) “Employer” means the entity that contractually employs you;
(c) “Ezytime” means the Ezytime online portal operated by The Paymasters;
(d) “Personal Information” has the meaning given to it in section 7 of the Privacy Act 2020;
(e) “Privacy Act” means the Privacy Act 2020 and any amendments thereto, including the Privacy Amendment Act 2025;
(f) “Services” means any one or more of the services offered by The Paymasters through this Website or Ezytime from time to time, including payroll processing, leave management, and related services;
(g) “The Paymasters” means The Paymasters Limited (formerly Ezypay Limited);
(h) “Website” means the websites operated by The Paymasters, currently being www.paymasters.co.nz and www.ezytime.kiwi;
(i) “you” and “your” are references to the user of the Website and/or the Services.
2. Amendment of Terms and Conditions
2.1 These Terms and Conditions may be amended by The Paymasters from time to time. Amendments will be effective immediately upon posting the amended Terms and Conditions on this Website. The date of the most recent revision will be indicated at the top of this page.
2.2 You are responsible for reviewing these Terms and Conditions periodically. Your continued use of the Website and Services following the posting of any amendments constitutes your acceptance of those amendments.
2.3 Where any amendment would materially affect your rights or obligations, we will take reasonable steps to bring the amendment to your attention, which may include notice on the Website or communication via email.
3. No Agency or Employment Relationship
3.1 The Paymasters provides payroll outsourcing services and an online portal for those who wish to view and manage their leave and payroll-related information through a web interface.
3.2 The Paymasters does not act as the Employer of any person using the Website. The Paymasters processes payroll on behalf of your Employer as a contracted service provider. Nothing in these Terms and Conditions creates an employment, partnership, joint venture, or agency relationship between The Paymasters and you.
4. User Warranties and Obligations
By registering as a user or using the Website, you agree and warrant that:
(a) you have provided complete, accurate, and current Personal Information and will maintain and update your Personal Information to ensure it remains accurate and current;
(b) all requests and submissions made by you through the Website or Ezytime will be made in good faith;
(c) you will not damage, interfere with, or disrupt the Website, Services, or any network, system, or part thereof, nor any network or system relating to or connected with the Website or the Services;
(d) you are responsible for keeping your login credentials, including your email address and password, secure and confidential. You agree not to permit any other person to use your login credentials or to disclose your password to enable any other person to gain access to your account;
(e) you will notify The Paymasters immediately if you become aware of any unauthorised access to or use of your account;
(f) you will comply with all applicable New Zealand laws in your use of the Website and Services; and
(g) you indemnify The Paymasters against any losses, costs, claims, damages, expenses, liabilities, proceedings, or demands that The Paymasters may suffer as a result of a breach of these warranties, to the extent not prohibited by law.
5. Your Risk
5.1 Communications and all other dealings between you and your Employer are conducted at your own risk. You acknowledge that The Paymasters acts as a service provider to your Employer and takes no responsibility for, and has no liability in respect of, any employment-related decisions made by your Employer.
5.2 Nothing in this clause limits your rights under the Privacy Act 2020 in respect of your Personal Information held by The Paymasters.
6. Service Availability and Disclaimer
6.1 You acknowledge that the Website and Services are provided on an “as is” and “as available” basis. While The Paymasters uses reasonable endeavours to ensure the Website and Services are available, reliable, and accurate, The Paymasters does not warrant that the Services will be uninterrupted, timely, secure, or error-free.
6.2 Where you identify an error with your information, you should advise The Paymasters promptly, and we will use our reasonable endeavours to investigate and, where appropriate, remedy the error.
6.3 Nothing in these Terms and Conditions is intended to limit or exclude any rights you may have under the Consumer Guarantees Act 1993, the Fair Trading Act 1986, or any other legislation that cannot lawfully be excluded.
7. Limitation of Liability
7.1 To the maximum extent permitted by law, and subject to clause 7.3, The Paymasters’ total aggregate liability to you arising out of or in connection with these Terms and Conditions, the Website, or the Services shall not exceed the greater of NZ$100 or the total fees paid by you (if any) to The Paymasters in the twelve (12) months preceding the claim.
7.2 To the maximum extent permitted by law, and subject to clause 7.3, The Paymasters shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business or anticipated savings, whether arising in contract, tort (including negligence), equity, breach of statutory duty, or otherwise.
7.3 Nothing in these Terms and Conditions excludes or limits liability:
(a) for death or personal injury caused by negligence;
(b) for fraud or fraudulent misrepresentation;
(c) under the Consumer Guarantees Act 1993, the Fair Trading Act 1986, or the Privacy Act 2020 to the extent such liability cannot lawfully be excluded; or
(d) for any other liability that cannot be excluded or limited under New Zealand law.
8. Indemnity
You agree, to the extent permitted by law, to release and indemnify The Paymasters from and against all actions, claims, costs (including reasonable legal costs), losses, proceedings, damages, liabilities, or demands suffered or incurred by The Paymasters arising out of or in connection with your failure to comply with these Terms and Conditions, except to the extent caused by The Paymasters’ own negligence, wilful default, or breach of these Terms and Conditions.
9. Breach and Termination
9.1 Without limiting any other rights and remedies available to The Paymasters, The Paymasters may suspend or remove your account, or refuse to provide the Services to you, if you breach these Terms and Conditions or where The Paymasters reasonably considers it appropriate to do so.
9.2 The Paymasters reserves the right to decline to register you as a user or to terminate your user status. Where reasonably practicable, The Paymasters will provide notice of such termination and the reasons for it, unless doing so would compromise the security or integrity of the Website or Services, or The Paymasters is required to act without notice by law.
9.3 Clauses 7 (Limitation of Liability), 8 (Indemnity), 11 (Intellectual Property), and 12 (Privacy and Personal Information) survive termination of your account and these Terms and Conditions.
10. Intellectual Property
10.1 The Paymasters owns or holds licences to all proprietary and intellectual property rights in the Website, including text, graphics, logos, icons, images, sound recordings, software, and all other material underlying and forming part of the Website and the Services.
10.2 You may not, without our prior written permission, in any form or by any means, adapt, reproduce, copy, store, distribute, print, display, perform, publish, or create derivative works from any part of this Website, except to the extent permitted by the Copyright Act 1994 or other applicable law.
10.3 The Paymasters® and associated logos are registered trademarks of The Paymasters Limited. You may not use these trademarks without our prior written consent.
11. Privacy and Personal Information
This clause sets out how The Paymasters collects, uses, stores, and discloses Personal Information through the Website and Services, in accordance with the Privacy Act 2020 and the Privacy Amendment Act 2025.
11.1 Collection of Personal Information
The Paymasters collects Personal Information about you through your use of the Website and the Services. This may include:
(a) your account details, including name, email address, contact information, and login credentials;
(b) payroll-related information provided by your Employer, including salary, bank account details, IRD number, tax codes, KiwiSaver details, and leave balances;
(c) information relating to your use of the Website, including access logs, IP addresses, browser type, and pages visited; and
(d) any other information you provide to us or that is provided to us by your Employer or other authorised third parties in connection with the Services.
11.2 Purpose of Collection
We collect and use your Personal Information for the following purposes:
(a) providing the Services to you and your Employer, including processing payroll, calculating PAYE, administering KiwiSaver, and managing leave entitlements;
(b) statutory reporting and compliance obligations, including obligations to Inland Revenue and other government agencies;
(c) verifying your identity;
(d) maintaining and improving the Website and Services;
(e) communicating with you about the Services; and
(f) any other purpose authorised by you or permitted by law.
11.3 Indirect Collection and IPP 3A
From 1 May 2026, the Privacy Amendment Act 2025 introduces Information Privacy Principle 3A (IPP 3A), which requires notification when Personal Information is collected indirectly – that is, from a source other than the individual.
As a payroll service provider, The Paymasters may collect your Personal Information indirectly from:
(a) your Employer (employee details, salary information, bank accounts, tax codes);
(b) Inland Revenue (tax code confirmations, KiwiSaver status, child support deduction notices);
(c) KiwiSaver providers (contribution rates, membership details); and
(d) other authorised third parties as required for payroll processing.
Where The Paymasters collects your Personal Information indirectly and is the collecting agency for the purposes of the Privacy Act 2020, we will take reasonable steps to ensure you are notified in accordance with IPP 3A, unless an applicable exception applies. Where The Paymasters acts solely as a service provider on behalf of your Employer under section 11 of the Privacy Act 2020, your Employer is responsible for providing notification to you.
11.4 Disclosure of Personal Information
The Paymasters may disclose your Personal Information to:
(a) your Employer, as required for payroll processing and reporting;
(b) Inland Revenue, ACC, and other government agencies as required or authorised by law;
(c) KiwiSaver providers, as required for the administration of KiwiSaver contributions;
(d) our professional advisers, auditors, and insurers, on a confidential basis; and
(e) any other party where required by law, court order, or regulatory authority, or where necessary to protect the rights, property, or safety of The Paymasters, our users, or the public.
We will not disclose your Personal Information for marketing purposes without your consent.
11.5 Storage and Security
The Paymasters takes reasonable steps to protect your Personal Information from loss, unauthorised access, use, modification, disclosure, or other misuse, in accordance with IPP 5 of the Privacy Act 2020. Personal Information is stored in New Zealand unless otherwise disclosed.
11.6 Retention
We retain your Personal Information only for as long as necessary to fulfil the purposes for which it was collected, or as required by law. Payroll records are retained in accordance with the minimum retention periods specified in the Income Tax Act 2007, the Tax Administration Act 1994, the Holidays Act 2003, and the Employment Relations Act 2000.
11.7 Your Rights
Under the Privacy Act 2020, you have the right to:
(a) request access to the Personal Information we hold about you (IPP 6);
(b) request correction of any Personal Information that is inaccurate, incomplete, or misleading (IPP 7); and
(c) make a complaint to the Office of the Privacy Commissioner if you believe your privacy has been interfered with.

11.8 Notifiable Privacy Breaches
In accordance with Part 6 of the Privacy Act 2020, if The Paymasters becomes aware of a privacy breach that it is reasonable to believe has caused, or is likely to cause, serious harm
to any affected individual, we will notify the Office of the Privacy Commissioner and the affected individuals as soon as practicable.
12. Cookies and Website Analytics
12.1 The Website may use cookies and similar tracking technologies to improve your browsing experience, analyse website traffic, and understand how visitors use the Website.
12.2 You may manage your cookie preferences through your browser settings. Disabling cookies may affect the functionality of the Website.
12.3 Any Personal Information collected through cookies or analytics is handled in accordance with clause 11 and the Privacy Act 2020.
13. System Integrity and Availability
13.1 The Paymasters will use its reasonable endeavours to ensure the availability of the Website and Services, subject to any downtime required for scheduled or emergency maintenance.
13.2 The Paymasters:
(a) accepts no liability, to the extent permitted by law, for any system unavailability, or for any loss that is incurred as a result of the Website or Services being unavailable, except where such unavailability is caused by The Paymasters’ negligence or wilful default; and
(b) reserves the right from time to time to modify or discontinue, temporarily or permanently, the Website (or any part thereof). Where reasonably practicable, we will provide notice to affected users before any material change or discontinuation.
14. Force Majeure
The Paymasters shall not be liable for any failure or delay in performing its obligations under these Terms and Conditions where such failure or delay results from any cause that is beyond the reasonable control of The Paymasters, including but not limited to: natural disasters, pandemics, epidemics, acts of God, civil unrest, terrorism, war, government action, power failures, internet or telecommunications failures, cyberattacks, or the failure of third-party service providers.
15. Dispute Resolution
15.1 If a dispute arises between you and The Paymasters in connection with these Terms and Conditions or the Services, the parties agree to use their best endeavours to resolve the dispute promptly and in good faith.
15.2 If the dispute cannot be resolved by direct negotiation within 20 working days, either party may refer the dispute to mediation in accordance with the Resolution Institute’s Mediation Rules. The mediation shall take place in Christchurch, New Zealand, unless the parties agree otherwise.
15.3 Nothing in this clause prevents either party from seeking urgent interlocutory or injunctive relief from a court of competent jurisdiction.
15.4 The Paymasters is not responsible for resolving disputes between you and your Employer. As The Paymasters acts as a service provider to your Employer, you agree not to involve, or attempt to involve, The Paymasters in employment-related disputes between you and your Employer.
16. No Waiver
If The Paymasters does not exercise or enforce any right available under these Terms and Conditions, this does not constitute a waiver of those rights. Any waiver of a right must be in writing and signed by The Paymasters to be effective.
17. Severability
If any provision of these Terms and Conditions is held to be invalid, unenforceable, or illegal for any reason, that provision shall be severed from the remaining Terms and Conditions, which shall continue in full force and effect. Where possible, the invalid provision shall be interpreted in a manner that gives effect to its intended purpose to the maximum extent permitted by law.
18. Consumer Law Compliance
18.1 Nothing in these Terms and Conditions is intended to, or shall be construed to, exclude, restrict, or modify any rights or remedies that you may have under the Consumer Guarantees Act 1993, the Fair Trading Act 1986, or any other applicable New Zealand legislation, to the extent that such exclusion, restriction, or modification is prohibited by law.
18.2 Where the Services are supplied to you for business purposes (as defined in the Consumer Guarantees Act 1993), the parties may agree in writing that some or all of the consumer guarantees do not apply, to the extent permitted by law.
19. Governing Law and Jurisdiction
19.1 These Terms and Conditions are governed by and construed in accordance with the laws of New Zealand, including the Contract and Commercial Law Act 2017.
19.2 Subject to clause 15 (Dispute Resolution), you submit to the non-exclusive jurisdiction of the courts of New Zealand in respect of any proceedings arising out of or in connection with these Terms and Conditions.
20. Entire Agreement
20.1 These Terms and Conditions, together with any separate service agreement between your Employer and The Paymasters, constitute the entire agreement between you and The Paymasters in relation to your use of the Website and the Services.
20.2 These Terms and Conditions supersede all previous terms, conditions, understandings, commitments, agreements, and representations, whether oral or written, relating to your use of the Website.
